Terms of Service

These Terms of Service (the “Terms”) are an agreement between you and Vista Tech Solutions LLC (“Vista,” “we,” “us,” or “our”), located at 2524 W Freddy Gonzalez, Edinburg, TX 78539. They govern your use of the Vista AI Receptionist service (the “Service”) and the website vistareceptionist.com (the “Site”). By creating an account, using the Service, or using the Site, you agree to these Terms. If you use the Service on behalf of a business, you represent that you have authority to bind that business, and “you” refers to that business.

1. The Service

Vista AI Receptionist is an AI-powered phone receptionist for businesses. The Service answers inbound calls to a subscribing business’s phone line and conducts natural voice conversations with callers. Depending on configuration, it can check availability and book appointments, present a menu or catalog and take orders, answer questions and capture caller messages and leads, place outbound calls such as reminders, follow-ups, and order-ready notifications, and send related transactional text messages. The Service includes a web dashboard where subscribing businesses (“Customers”) can review call history, manage bookings and orders, configure their receptionist, and view billing. The Service is built on third-party infrastructure, including Twilio telephony and messaging and Amazon Web Services (including Amazon Bedrock for real-time voice AI).

2. Accounts and Eligibility

The Service is offered for business use. You must be at least 18 years old and able to form a binding contract to open an account. You agree to provide accurate, current, and complete account information, to keep it up to date, and to keep your login credentials secure. You are responsible for all activity that occurs under your account.

4. SMS / Text Message Program Terms

Program description.As part of the Service, transactional text messages may be sent to callers and customers of subscribing businesses — for example booking confirmations, appointment reminders, order updates and order-ready notifications, and follow-ups related to a caller’s request. These are service messages tied to a transaction the recipient initiated; they are not marketing messages.

Consent. Recipients consent to these messages by calling a business whose phone line is answered by the Service and providing their phone number during that call for the purpose of their booking, order, or inquiry (or by otherwise providing their number to that business for that purpose). Consent to receive these transactional messages is not a condition of any purchase.

Message frequency.Message frequency varies based on the recipient’s activity; a typical booking or order results in a small number of messages.

Message and data rates may apply.Standard message and data rates from the recipient’s mobile carrier may apply.

Opt-out (STOP). Recipients can cancel text messages at any time by replying STOP. After sending STOP, the recipient will receive one final message confirming the opt-out, and no further texts will be sent to that number through the program unless the recipient opts back in.

Help (HELP). Recipients can reply HELP to any message for assistance, or contact us at admin@vistatechsolutions.io.

Carriers.Mobile carriers are not liable for delayed or undelivered messages. Message delivery is subject to availability and effective transmission by the recipient’s carrier.

Privacy. Mobile information and SMS opt-in data are handled as described in our Privacy Policy and are not shared with third parties or affiliates for marketing or promotional purposes.

5. Fees and Billing

The Service is offered on usage-based subscription plans. Each plan includes a monthly volume of calls; usage beyond the included volume is billed at a per-call overage rate, except on plans that include unlimited usage. Current plans and rates are presented at the time of purchase and in your dashboard. Fees are billed to the payment method on file, are exclusive of applicable taxes (which you are responsible for), and are non-refundable except where required by law. We may change our fees with advance notice; changes take effect at your next billing cycle. We may suspend the Service for accounts with overdue balances after reasonable notice.

7. AI-Generated Interactions

The Service uses artificial intelligence to conduct conversations in real time. AI systems can occasionally misunderstand a caller or produce inaccurate or incomplete responses. You acknowledge this characteristic of the technology, agree to review bookings, orders, and captured messages in your dashboard, and remain responsible for the operation of your business, including confirming any details that are critical to you or your customers.

8. Your Data; Our Intellectual Property

As between you and Vista, you retain ownership of the data you and your callers provide to the Service (“Customer Data”). You grant us the rights needed to host, process, transmit, and display Customer Data to provide and support the Service. We handle personal information as described in our Privacy Policy. The Service, Site, and all related software, configurations, designs, and branding are owned by Vista or its licensors, and no rights are granted to you except as expressly set out in these Terms.

9. Third-Party Services

The Service depends on third-party providers, including telecommunications carriers, Twilio, and Amazon Web Services. We are not responsible for failures, delays, or outages attributable to third-party networks or providers, including dropped calls or undelivered messages, although we will make commercially reasonable efforts to restore the Service when disruptions occur.

10. Term and Termination

Subscriptions continue until canceled. You may cancel at any time through your dashboard or by contacting us; cancellation takes effect at the end of the current billing period. We may suspend or terminate your access for material breach of these Terms, for non-payment, or where required to protect the Service or comply with law. Upon termination, your right to use the Service ends, and we will handle your data as described in our Privacy Policy. Sections that by their nature should survive termination (including Sections 8 and 11 through 14) survive.

11. Disclaimer of Warranties

THE SERVICE AND THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, VISTA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT EVERY CALL WILL BE ANSWERED OR HANDLED WITHOUT ERROR.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VISTA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, VISTA’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO VISTA FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

13. Indemnification

You will defend, indemnify, and hold harmless Vista and its officers, members, employees, and agents from and against claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service in violation of these Terms or applicable law, your Customer Data, or your business’s dealings with your callers and customers.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising out of or relating to these Terms or the Service is the state or federal courts located in Hidalgo County, Texas, and each party consents to personal jurisdiction there.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page and, for material changes, provide additional notice as appropriate. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
